Organiser Terms of Service
The terms that govern Organisers listing and selling tickets on the BLOCO Platform.
By creating an account, listing an event, or using the BLOCO Platform in any capacity as an event organiser or promoter, you agree to be legally bound by these Organiser Terms. These Terms exist to protect BLOCO as the platform operator. Read them carefully.
1. Definitions
- BLOCO, we, us, our: Bloco Ltd, Company No. 12279811, 3 Mary Street, Birmingham B3 1UD.
- Organiser / you: any individual, business, or entity that creates an account and uses the BLOCO Platform to list, manage, and sell tickets for events.
- Platform: the BLOCO website (bloco.co.uk), mobile application, admin dashboard, API, and any white-label technology powered by BLOCO.
- Event: any event, show, festival, party, experience, or gathering listed on the Platform by the Organiser.
- Customer: a member of the public who purchases a ticket through the Platform.
- Booking Fee: the fixed transaction fee charged by BLOCO per ticket sold, as set by BLOCO from time to time.
- Payout:the transfer of ticket sale proceeds (net of BLOCO's Booking Fee) to the Organiser.
2. BLOCO's Role and Limitations
2.1 BLOCO is a ticketing technology platform only. BLOCO does not organise, promote, produce, host, manage, or have any operational role in any event listed on the Platform.
2.2 BLOCO acts as a ticket merchant - it provides the technology for ticket sales and payment processing. BLOCO does not act as the Organiser's agent for any purpose beyond ticket transactions.
2.3 BLOCO is not responsible for:
- the organisation, management, safety, or running of any event;
- any representations made by the Organiser to Customers;
- compliance with licencing, health and safety, or other regulatory obligations relating to the event;
- any failure by the Organiser to deliver the event as advertised.
2.4 The Organiser is the sole and entire counterparty to Customers in respect of the event and bears full responsibility for all obligations to Customers.
3. BLOCO's Booking Fee
BLOCO's Booking Fee is earned at the point of each ticket transaction and is NON-REFUNDABLE in all circumstances without exception.
3.1 BLOCO charges a Booking Fee on every ticket sold through the Platform. The Booking Fee is set globally by BLOCO. Any variation from the standard Booking Fee must be agreed in writing between BLOCO and the Organiser as a formal partnership arrangement.
3.2 The Organiser may elect, at the time of event setup, to:
- Pass the Booking Fee on to the Customer, displayed as a separate charge at checkout; or
- Absorb the Booking Fee so that it is included within the ticket price displayed to the Customer.
3.3 Regardless of which option the Organiser selects, BLOCO will always receive its full Booking Fee on every transaction. The Organiser's choice affects only how the fee is presented to the Customer.
3.4 BLOCO reserves the right to update its Booking Fee at any time. The Organiser will be notified in advance of any change. Continued use of the Platform following notification constitutes acceptance of the revised fee.
4. Payment Models
4A. BLOCO-Managed Payments
4A.1 Where the Organiser uses BLOCO-managed payment processing, all ticket sale proceeds are collected by BLOCO and held on behalf of the Organiser.
4A.2 Payouts to the Organiser will be made available within 5 working days following the conclusion of the Event, net of BLOCO's Booking Fee and any amounts withheld under these Terms.
4A.3 BLOCO reserves the right to withhold or delay Payouts where there is a suspected risk of fraud, chargebacks, regulatory concern, or breach of these Terms. BLOCO also reserves the right to set and retain a reserve amount from the Organiser's Payout to cover the assessed risk of chargebacks, fraud, or financial exposure on the account.
4B. Stripe Connect (Organiser-Managed Payments)
4B.1 Where the Organiser operates through Stripe Connect, ticket sale proceeds are paid directly into the Organiser's Stripe account. BLOCO's Booking Fee is automatically deducted from each transaction at the point of payment before any funds reach the Organiser.
4B.2 Where Stripe Connect is used, the Organiser is the merchant of record for all transactions relating to their events.
4B.3 The Organiser is solely and entirely responsible for:
- all financial obligations to Customers, including refunds;
- responding to Customer payment queries and complaints;
- all chargebacks and payment disputes;
- compliance with all applicable financial regulations governing their receipt and handling of customer funds;
- their own compliance with Stripe's terms of service.
5. Refunds
BLOCO's Booking Fee is NON-REFUNDABLE in all circumstances. This includes event cancellations, postponements, and Customer-initiated refund requests.
5.1 The Organiser is solely responsible for setting and communicating the refund policy for their event. The Organiser may select from: No Refunds; Refunds up to 1 day before the event; Refunds up to 7 days before the event; or Case-by-case.
5.2 The selected refund policy will be displayed to Customers at the point of purchase. The Organiser is bound by the policy they have selected and must honour any refunds falling within that policy.
5.3 Customers must raise a refund request through the Platform. BLOCO does not mediate refund disputes between Customers and Organisers, but provides the tooling through which refunds are processed.
5.4 Where a refund is approved by the Organiser, the refund of the ticket face value will be returned to the Customer within 30 days of approval. The Booking Fee is not included in any refund.
5.5 The Organiser is responsible for ensuring sufficient funds are available to cover any approved refunds. Where funds are insufficient, the Organiser remains liable for the shortfall.
6. Chargebacks and Payment Disputes
Organisers bear full financial responsibility for all chargebacks and payment disputes. BLOCO will recover all chargeback amounts and associated fees from the Organiser by any means available under these Terms.
6.1 A chargeback occurs when a Customer disputes a transaction with their card issuer or bank. Chargebacks can arise from claims of fraud, non-delivery, misrepresentation, or other Customer complaints.
6.2 The Organiser is entirely and solely responsible for all chargebacks relating to their event(s), regardless of which payment model is in use.
6.3 Where a chargeback is initiated, BLOCO reserves the right to recover the full value of the disputed transaction plus any associated dispute fees by deducting from funds held, future Payouts, invoicing the Organiser directly, or any other legal means.
6.4 Dispute fees are charged by Stripe per chargeback filed and are non-negotiable. These fees will be passed to the Organiser in full regardless of the outcome.
6.7 Repeated or high-volume chargebacks may result in suspension or termination of the Organiser's account at BLOCO's sole discretion.
7. Organiser Obligations
7.1 By using the Platform, the Organiser warrants and agrees that:
- all information provided about their event is accurate, truthful, and not misleading;
- they hold all necessary licences, permissions, and insurance required to host and operate the event;
- they will comply with all applicable laws, regulations, and licensing requirements;
- they will not list events that are illegal, fraudulent, misleading, or likely to cause harm;
- they will respond promptly to Customer queries and complaints directed to them;
- they will notify BLOCO and all affected Customers as soon as reasonably possible in the event of any cancellation, postponement, or material change to the event;
- they will comply with applicable data protection laws in respect of any Customer data shared with them by BLOCO.
8. BLOCO's Rights
8.1 BLOCO reserves the right, at its sole discretion and at any time, to:
- suspend or remove any event listing that breaches these Terms or poses a risk to Customers or the Platform;
- withhold Payouts pending investigation of suspected fraud, chargebacks, or regulatory concern;
- require identity verification or additional documentation before activating an account or processing a Payout;
- suspend or permanently terminate the Organiser's account where there is a material or repeated breach of these Terms;
- amend the Platform, its features, fee structure, or these Terms at any time.
9. Identity Verification and KYC
9.1 BLOCO may require Organisers to complete identity verification (KYC) before accessing full Platform functionality or receiving Payouts. This may include provision of government-issued ID, company documentation, and bank account details.
9.2 KYC is conducted in part through Stripe Identity. By agreeing to these Terms the Organiser consents to the collection and processing of their identification data for this purpose.
9.3 Failure to complete KYC when requested will result in withholding of Payouts and may result in account suspension.
10. Data Protection
10.1 BLOCO processes Organiser and Customer personal data in accordance with its Privacy Policy and in compliance with the UK GDPR and Data Protection Act 2018.
10.2 BLOCO will share Customer data with the Organiser for the purpose of event fulfilment and administration only. The Organiser shall not use Customer data for any purpose other than the administration of the relevant event.
11. Liability and Indemnity
11.1 The Organiser shall indemnify and hold harmless BLOCO, its directors, employees, agents, and successors from and against any and all claims, losses, damages, costs, and expenses (including legal fees) arising from:
- any breach by the Organiser of these Terms;
- any failure by the Organiser to deliver or manage the event as advertised;
- any claim by a Customer arising from the event or the Organiser's actions;
- any fraud, misrepresentation, or unlawful activity by the Organiser;
- any chargebacks, disputes, fines, or penalties arising from the Organiser's transactions;
- any failure by the Organiser to comply with applicable laws or regulations.
11.2 BLOCO's total liability to the Organiser shall not exceed the aggregate Booking Fees paid by the Organiser to BLOCO in the 3 months preceding the relevant claim.
12. Term and Termination
12.1 These Terms apply for as long as the Organiser maintains an account on the Platform.
12.2 Either party may terminate the Organiser's account on written notice.
12.3 BLOCO may terminate or suspend the Organiser's account immediately and without notice in the event of: material or repeated breach of these Terms; suspected fraud or unlawful activity; failure to complete KYC when required; or insolvency or cessation of trading.
13. Governing Law
13.1 These Terms are governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any dispute arising under or in connection with these Terms.
